1. INTRODUCTION
These Terms and Conditions ("Terms") constitute a legally binding agreement between PrimeScore Fintech Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at [Registered Office Address] (hereinafter referred to as "PrimeScore", "Company", "we", "our" or "us"), and every individual or entity accessing or using the Company's website, mobile application, customer dashboard or any other platform operated by PrimeScore (collectively, the "Platform").
These Terms govern your access to and use of the Platform and all products and services provided by PrimeScore, including but not limited to credit report analysis, credit monitoring, credit rectification assistance, dispute management, financial wellness services and other ancillary services (collectively, the "Services").
By accessing or using the Platform or availing any Services, you acknowledge that you have read, understood and agreed to be bound by these Terms, the Privacy Policy and all other policies published by PrimeScore from time to time.
2. DEFINITIONS
Unless the context otherwise requires:
"Applicable Laws" means all applicable statutes, rules, regulations, notifications, circulars, directions and governmental orders in force in India.
"Credit Information Company" or "CIC" shall have the meaning assigned under the Credit Information Companies (Regulation) Act, 2005.
"Platform" means the website, mobile application, customer dashboard and all digital interfaces operated by PrimeScore.
"Services" means the products and services offered by PrimeScore through the Platform.
"User", "You" or "Your" means any person accessing the Platform or availing the Services.
3. ELIGIBILITY
You represent and warrant that:
(a) you are at least eighteen (18) years of age;
(b) you are competent to enter into legally binding contracts under the Indian Contract Act, 1872;
(c) all information provided by you is true, accurate and complete;
(d) you shall use the Platform only for lawful purposes and in accordance with these Terms.
PrimeScore reserves the right to refuse access to the Platform or Services where it reasonably believes that a User does not satisfy the above eligibility requirements.
4. NATURE OF SERVICES
PrimeScore is a technology-enabled credit consultancy platform that assists users in analyzing, monitoring and improving their credit profile through lawful processes.
For the avoidance of doubt:
PrimeScore provides technology-enabled tools, analytics and consultancy services designed to assist Users in understanding their credit profile and facilitating communication with lenders and Credit Information Companies, where authorized by the User.
Any decision regarding modification of credit records, approval of disputes or grant of credit remains solely with the relevant financial institution or Credit Information Company.
5. USER ACCOUNT
You agree to:
PrimeScore reserves the right to suspend or terminate any account found to contain false, misleading or fraudulent information.
6. USER REPRESENTATIONS AND WARRANTIES
By using the Platform, you represent and warrant that:
(a) all information and documents submitted by you are genuine, accurate and lawfully obtained;
(b) you possess all necessary rights and authority to submit such information;
(c) no document uploaded infringes the rights of any third party;
(d) you shall not impersonate any individual or entity;
(e) you shall comply with all Applicable Laws while using the Platform.
PrimeScore reserves the right to reject any document or suspend any Service where it reasonably suspects fraud, misrepresentation or unlawful activity.
7. CREDIT REPORT AUTHORISATION
By requesting such Services, you authorize PrimeScore to obtain and analyze your credit information from authorized Credit Information Companies or financial institutions, communicate with banks, NBFCs and Credit Information Companies, prepare and submit representations or dispute-related documentation on your behalf where authorized, and retain such information only for as long as necessary to provide the Services and comply with Applicable Laws. PrimeScore shall not independently modify, alter or update any credit records maintained by any Credit Information Company or financial institution.
8. ARTIFICIAL INTELLIGENCE SERVICES
PrimeScore may use proprietary software, artificial intelligence and other automated technologies to analyze credit reports, identify anomalies, generate preliminary recommendations, prepare draft dispute representations and improve its Services. Outputs generated through such technologies are intended to assist Users, may be subject to human review, and do not constitute automated legal or financial decisions.
9. USER CONSENT
Where required under Applicable Laws, PrimeScore shall obtain your explicit consent before processing Personal Data for specified purposes. You may withdraw your consent in accordance with the Privacy Policy, subject to PrimeScore's right to discontinue Services requiring such consent.
10. MODIFICATIONS TO SERVICES
PrimeScore reserves the right to modify, suspend, discontinue or enhance any part of the Platform or Services at any time without prior notice where such modification is necessary for operational, legal, regulatory or business reasons. PrimeScore shall not be liable for any loss arising solely from such modification, suspension or discontinuance, except where otherwise required under Applicable Laws.
11. FEES AND PAYMENT
Certain Services may be subject to applicable fees, which shall be displayed on the Platform or otherwise communicated prior to purchase. Users agree to pay all applicable fees and taxes through approved payment methods. Unless otherwise provided in the Refund and Cancellation Policy or required by Applicable Laws, all payments are non-refundable. PrimeScore may revise its pricing prospectively, and failure to make timely payment may result in suspension or discontinuation of the Services.
12. USER OBLIGATIONS
While using the Platform, the User agrees to:
(a) provide accurate, complete and updated information;
(b) maintain the confidentiality of account credentials;
(c) promptly notify PrimeScore of any unauthorized use of the account;
(d) provide only genuine documents and information;
(e) cooperate with PrimeScore in providing additional information reasonably required for rendering the Services;
(f) comply with all Applicable Laws while using the Platform;
(g) use the Services solely for lawful and legitimate purposes; and
(h) refrain from any activity that may adversely affect the Platform, other Users or PrimeScore.
The User acknowledges that PrimeScore relies upon the accuracy of the information furnished by the User and shall not be responsible for any consequences arising from inaccurate, incomplete or misleading information.
13. PROHIBITED USES
Certain Services may be subject to fees, which shall be displayed on the Platform or communicated prior to availing the Services. Users agree to pay all applicable fees and taxes through approved payment methods. Unless otherwise provided in the Refund and Cancellation Policy or required by Applicable Laws, payments are non-refundable. PrimeScore may revise its fees prospectively, and failure to make timely payment may result in suspension or discontinuation of the relevant Services.
14. INTELLECTUAL PROPERTY
The Platform, including its software, algorithms, user interface, databases, trademarks, logos, content, reports, documentation and all associated intellectual property rights, is and shall remain the exclusive property of PrimeScore or its licensors. These Terms do not grant Users any ownership rights in the Platform or Services. Users are granted a limited, non-exclusive, non-transferable and revocable license to access and use the Platform for lawful purposes only and shall not copy, modify, distribute or commercially exploit any part of the Platform without PrimeScore's prior written consent.
15. THIRD-PARTY SERVICES
The Platform may integrate with or provide access to third-party services, including payment gateways, Credit Information Companies, banks, financial institutions, communication service providers and cloud infrastructure providers.
PrimeScore does not own or control such third-party services and shall not be responsible for their availability, accuracy, security, functionality or privacy practices.
The User acknowledges that the use of such third-party services may be subject to separate terms and conditions prescribed by the respective service providers.
16. DISCLAIMER
PrimeScore is a technology-enabled credit consultancy platform and is not a bank, lender, NBFC or Credit Information Company. PrimeScore does not guarantee loan approvals, improvement of credit scores, acceptance of disputes, correction of credit records or any specific financial outcome. The Services, reports and recommendations are provided solely for informational purposes and should not be construed as legal, financial, investment or lending advice. Users remain solely responsible for their financial decisions.
17. SUSPENSION AND TERMINATION
PrimeScore may suspend, restrict or terminate a User's access to the Platform, with or without prior notice, if the User breaches these Terms, provides false or fraudulent information, uses the Platform unlawfully, exposes PrimeScore or other Users to legal or operational risks, or where such action is required under Applicable Laws. Termination shall not affect accrued rights or obligations, and PrimeScore may retain information thereafter to comply with legal obligations or protect its legal rights.
18. INDEMNITY
The User agrees to indemnify, defend and hold harmless PrimeScore, its directors, officers, employees, affiliates, consultants, agents and representatives from and against any losses, liabilities, damages, claims, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to:
(a) breach of these Terms;
(b) violation of Applicable Laws;
(c) misuse of the Platform;
(d) submission of false, misleading or unauthorized information;
(e) infringement of any third-party rights; or
(f) any negligent, fraudulent or willful act or omission of the User.
The obligations contained in this Clause shall survive the termination of these Terms.
19. LIMITATION OF LIABILITY
PrimeScore is a technology-enabled credit consultancy platform and not a bank, lender, NBFC or Credit Information Company. It does not guarantee loan approvals, credit score improvements, correction of credit records or any specific financial outcome. The Services and recommendations are provided for informational purposes only and do not constitute legal, financial or investment advice. Users remain solely responsible for their financial decisions.
20. CONFIDENTIALITY
PrimeScore shall take reasonable measures to maintain the confidentiality of information shared by Users and shall use such information only for providing the Services, complying with Applicable Laws or as otherwise permitted under these Terms and the Privacy Policy.
The User shall likewise maintain the confidentiality of any proprietary or confidential information received from PrimeScore and shall not disclose, reproduce or misuse such information without the Company's prior written consent.
The obligations contained in this Clause shall survive the termination of these Terms.
21. FORCE MAJEURE
PrimeScore shall not be liable for any delay or failure in performing its obligations where such delay or failure results from events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, governmental actions, strikes, labour disputes, cyber-attacks, power failures, failure of communication networks or interruption of third-party services.
During the continuance of such event, PrimeScore's obligations shall remain suspended to the extent affected.
22. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of India.
23. DISPUTE RESOLUTION
The Parties shall endeavor to resolve any dispute through good faith discussions. If the dispute remains unresolved within thirty (30) days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the Parties, failing which the appointment shall be made in accordance with the Act. The seat and venue of arbitration shall be Jodhpur, Rajasthan, and the proceedings shall be conducted in English. The arbitral award shall be final and binding. Nothing herein shall restrict PrimeScore from seeking interim or injunctive relief from a court of competent jurisdiction.
24. ELECTRONIC COMMUNICATIONS
By using the Platform, the User consents to receive communications from PrimeScore electronically, including through email, SMS, WhatsApp, notifications or other authorized communication channels. Electronic communications shall be deemed to satisfy any legal requirement that such communication be made in writing.
25. ASSIGNMENT
The User shall not assign, transfer or otherwise dispose of any rights or obligations under these Terms without the prior written consent of PrimeScore.
PrimeScore may assign or transfer its rights or obligations under these Terms, including in connection with any merger, acquisition, restructuring or transfer of business, without requiring the User's prior consent.
26. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court or competent authority, such provision shall be severed to the extent of such invalidity or unenforceability, and the remaining provisions shall continue in full force and effect.
27. WAIVER
No failure or delay by PrimeScore in exercising any right, power or remedy under these Terms shall constitute a waiver thereof, nor shall any partial exercise preclude any further exercise of such right, power or remedy.
28. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Refund and Cancellation Policy, Disclaimer and any other policies published on the Platform from time to time, constitute the entire agreement between the User and PrimeScore concerning the use of the Platform and supersede all prior understandings, communications and agreements relating thereto.
29. AMENDMENT
PrimeScore reserves the right to amend, modify or update these Terms at any time to reflect changes in Applicable Laws, business practices, operational requirements or the Services.
The revised Terms shall become effective upon publication on the Platform unless otherwise stated. Continued use of the Platform after such publication shall constitute acceptance of the revised Terms.
30. NOTICES
Any notice or communication required under these Terms may be provided electronically through the Platform, email or any other communication channel notified by PrimeScore.
Users shall be responsible for ensuring that their registered contact details remain accurate and up to date.

ACCEPTANCE OF TERMS
By accessing or using the Platform or availing any Services offered by PrimeScore, you acknowledge that you have read, understood and agreed to be legally bound by these Terms and Conditions, the Privacy Policy and all other policies published by PrimeScore from time to time.
